Terms of Service

1. Contracting parties
These Terms of Service ("Terms") govern software subscriptions for automated telemetry, gateway proxies, and monitoring provided by Fortara GmbH, trading as Veltis Cloud ("Veltis", "we", or "us"), to the subscribing organisation ("Client"). By placing an order or using the services, the Client agrees to these Terms.

2. Scope of digital IT services
Veltis Cloud supplies software-only subscriptions: uptime and SSL monitoring, reverse-proxy routing and DNS failover signals, log aggregation, bandwidth telemetry, and automated backup scheduling, each subject to the endpoint and instance limits of the selected tier. Services do not include custom software development, on-site hardware support, or hands-on OS patching.
Service commencement follows successful payment. Client portal credentials are issued electronically. Collectors and probes start after the Client connects endpoints in the portal.
3. Subscription and billing
Subscriptions are billed monthly in advance. The Client may cancel at any time via the client portal; cancellation takes effect at the end of the current billing cycle except where a statutory cooling-off period applies. Billing is processed by Fortara GmbH. Charges may appear on the Client's bank or card statement as "Veltis Cloud" or "Fortara GmbH".
4. Cancellation
The Client may cancel the initial subscription within 14 days of the purchase date and receive a full refund of fees paid for that period, subject to applicable law. Thereafter, cancellation takes effect at the end of the current billing cycle. Unused portions of a paid period are not refunded on a pro-rata basis unless required by mandatory law.
Cancellation notices should be sent to [email protected] or submitted through the Stripe customer portal associated with the subscription.
5. Service levels and exclusions
Availability and response commitments are those specified in the selected service tier. Veltis is not responsible for unavailability arising from third-party hosting providers, events of force majeure, or changes to Client infrastructure effected outside the agreed managed scope.
6. Limitation of liability
To the extent permitted by applicable law, Fortara GmbH shall not be liable for indirect, incidental, or consequential loss arising from use of the services. Aggregate liability is limited to the fees paid by the Client in the twelve (12) months immediately preceding the claim.
7. Governing law
These Terms are governed by the laws of the Federal Republic of Germany. The courts of Berlin, Germany, have exclusive jurisdiction, except where mandatory consumer or commercial venue rules provide otherwise.
